PROFESSIONAL ORGANIZING SERVICES AGREEMENT
This Professional Organizing Services Agreement (“Agreement”) is entered into by and between Choose Flow LLC, a Texas limited liability company (“Organizer”), and the undersigned client (“Client”). By booking, paying for, or receiving services, Client agrees to all terms below.
1. SERVICES PROVIDED
Organizer provides in-home and virtual professional organizing services on an hourly basis, including but not limited to: decluttering, sorting, categorizing, tidying, KonMari-inspired guidance, space planning, donation coordination, shopping for products, administrative preparation, travel, digital organizing, sourcing, and related services (“Services”).
All time spent on a client’s project, including travel, communications, sourcing, and shopping, is billable at the current hourly rate.
Organizer may update service offerings, contract terms, and hourly rates at any time without notice.
2. PAYMENT TERMS
A non-refundable retainer is required to secure a service date.
The remaining balance is due immediately upon completion of the final session.
No refunds are issued for Services already rendered.
Organizer reserves the right to pause work until outstanding invoices are paid.
1.1 Team Sessions & Assistant Organizers
For larger projects, Organizer may bring one or more assistant organizers to support the work. This is done at Organizer's professional discretion to ensure efficient, high-quality results.
Each assistant organizer is billed at $90 per hour, in addition to the lead Organizer's hourly rate. Client will be informed in advance when a team session is planned.
All assistant organizer time is subject to the same billing, cancellation, and liability terms outlined in this Agreement.
2.1 Billable Time Policy
Client acknowledges that CHOOSE FLOW provides comprehensive, full-service professional organizing and project management. Billable time includes both on-site and off-site services necessary to plan, execute, and complete the project efficiently.
Billable services include, but are not limited to:
On-site organizing, decluttering, and hands-on session time
Project planning and preparation
Product research, sourcing, and recommendations
Shopping and purchasing of supplies and organizing products
Order coordination and returns/exchanges
Travel related to the project, such as picking up products, visiting stores, going to donation centers, or other project-related locations
Travel to and from the client’s home if the location is more than 30 minutes from Rachel or an assistant organizer. The first 30 minutes of travel each way are complimentary. Any travel time beyond 30 minutes per direction will be billed at the standard hourly rate. In these cases, a travel fee will apply to account for extended travel time.
Donation drop-offs or disposal coordination
Space design, layout planning, and system development
Vendor or contractor coordination (if applicable)
Administrative tasks directly related to the client’s project
Post-session follow-up and implementation support
All project time is billed at the agreed hourly rate unless otherwise specified in writing.
Travel outside of the standard service area may incur additional fees.
CHOOSE FLOW will use professional discretion to manage time efficiently and act in the client’s best interest when performing off-site work.
3. CANCELLATIONS & RESCHEDULING
3.1 Cancellations
Cancellations made less than 48 hours before the appointment automatically forfeit the retainer.
Cancellations made more than 48 hours before the scheduled appointment may transfer the retainer to one rescheduled date.
3.2 Rescheduling
Client may reschedule one time with more than 48 hours’ notice without penalty.
Any reschedule request made within 48 hours of the appointment will incur a mandatory $50 rescheduling fee.
Repeated rescheduling (more than once) requires a new 50% retainer, regardless of notice.
Organizer reserves the right to refuse future bookings to clients with excessive rescheduling patterns.
4. CLIENT RESPONSIBILITIES
Client agrees to:
Provide a safe, accessible, sanitary workspace free from hazards.
Supervise children and secure pets during sessions.
Participate in decision-making unless otherwise arranged.
Be honest about the condition of the home, including pests, mold, hoarding, structural issues, or biohazards.
Pay all fees promptly.
Move or lift heavy items only at their own risk.
Understand that productivity depends on Client’s cooperation and readiness.
Organizer may stop work or terminate the Agreement if unsafe, hostile, or unsanitary conditions are present. All time remains billable.
5. LIMITATION OF LIABILITY
Client agrees that Organizer is not liable for any of the following under any circumstance:
5.1 Limitation of Liability — Property Damage in Multi-Vendor Environments
Choose Flow LLC and its contractors (collectively, "Service Provider") exercise reasonable professional care during all service visits, including but not limited to the use of shoe covers, gloves, drop cloths, and safe object handling practices consistent with industry standards.
Pre-Service Documentation. Prior to the commencement of services, the parties may conduct a walkthrough of the service area. Any pre-existing damage identified during the walkthrough shall be noted in writing or by photographic documentation. The absence of a walkthrough shall not alter the limitations set forth herein.
Limitation of Liability. Service Provider shall not be liable for damage to walls, floors, cabinetry, surface finishes, furniture, fixtures, or personal property unless the Client establishes, by clear and convincing evidence, that such damage was directly and proximately caused by the specific act or omission of a Choose Flow LLC team member. Client expressly acknowledges that in environments where multiple service providers, vendors, movers, contractors, or other third parties are simultaneously or consecutively present, damage cannot be attributed to any single party absent supporting documentation.
Burden of Proof. In the event of a dispute regarding property damage, the burden of proof shall rest with the Client to identify the responsible party through documentation, photographs, or witness statements. Choose Flow LLC shall not be required to disprove causation.
Indemnification. Client agrees to indemnify, defend, and hold harmless Choose Flow LLC, its members, employees, and independent contractors from and against any claims, damages, losses, or expenses, including reasonable attorney's fees, arising out of or related to property damage that is not directly and proximately caused by Choose Flow LLC.
Governing Law. This provision shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising hereunder shall be resolved in the courts of Parker County, Texas, or such other venue as mutually agreed upon by the parties.
Acknowledgment. By signing below, Client acknowledges that they have read, understood, and agreed to this limitation of liability, and that it forms a material part of the service agreement between Client and Choose Flow LLC.
5.2 Property & Personal Items
Loss, damage, or misplacement of any items
Items discarded, donated, or relocated at Client’s direction
Items hidden, buried, or unknown to Client
Financial, sentimental, or emotional value of items
Client remains solely responsible for final decisions about what to keep or discard.
5.3 Physical Injury
Organizer is not liable for:
Injuries sustained by Client during participation
Trips, falls, lifting injuries, or strain
Injuries caused by unstable furniture or hazardous conditions
5.4 Emotional or Psychological Responses
Organizing may bring emotions, triggers, or stress. Organizer is not responsible for:
Emotional distress
Discomfort during decluttering
Regret about decisions made
5.5 Hazardous Conditions
Organizer is not liable for illness, damage, or delay caused by:
Mold, mildew, pests, insects, rodents
Biohazards or unsanitary areas
Structural defects
Sharp objects, chemicals, or unsafe furniture
Organizer may immediately leave the premises if hazards are present. Time remains billable.
5.6 Third-Party Products
Organizer recommends products as a convenience only and is not responsible for:
Product failures
Installation issues
Shipping delays
Costs or damages related to purchased items
Injuries caused by improper installation or use
5.7 Indemnification Clause
Client agrees to indemnify, defend, and hold harmless Organizer, its owners, and contractors from all claims, losses, damages, liabilities, and expenses arising from:
Services performed
Client’s actions or decisions
Conditions in Client’s home
Items donated, discarded, or handled
Any third-party claims
This protection is absolute and unconditional.
6. PHOTOGRAPHY & MARKETING
Organizer may take before/after photos for documentation, quality control, marketing, social media, website use, advertising, print materials, courses, and educational content.
Client may opt out only by submitting written notice prior to the first session.
If no written opt-out is submitted, Client automatically grants permission.
Organizer will not display faces, legal documents, or identifying information without explicit written consent.
7. CONFIDENTIALITY
Organizer maintains strict confidentiality regarding Client’s home, belongings, personal information, and conversations.
Client agrees not to share Organizer’s proprietary processes, systems, checklists, scripts, methods, or educational materials.
8. PROFESSIONAL BOUNDARIES
Organizer may refuse service or terminate the Agreement immediately (without refund) if Client engages in:
Harassment or inappropriate behavior
Hostility, disrespect, or unsafe conduct
Interference that prevents productive work
Failure to pay or repeated cancellations
Time spent remains billable.
9. NON-DISPARAGEMENT
Client agrees not to defame, publicly criticize, or post negative, misleading, or malicious reviews against Organizer.
Concerns must be addressed privately, in writing, before any public communication.
10. TERMINATION BY ORGANIZER
Organizer may terminate this Agreement at any time if:
Conditions are unsafe or unsanitary
Client repeatedly violates policies
Client fails to pay
Client becomes hostile or uncooperative
Client must pay for all hours worked up to the termination.
11. FORCE MAJEURE
Organizer is not liable for delays or failure to perform caused by factors outside reasonable control (illness, emergency, weather, power outages, family matters, etc.).
12. GOVERNING LAW & VENUE
This Agreement is governed by the laws of the State of Texas.
Any dispute must be brought exclusively in Parker County, Texas courts, unless Organizer chooses another venue.
13. ENTIRE AGREEMENT
This Agreement constitutes the full understanding between the parties. Organizer may revise terms at any time; the current version at the time of service governs.
